Of all the commercial contracts I review, draft and negotiate on a daily basis in my practice, commercial Leases are the 'Rocky Horror Picture Show of the small business owner.

Because Robaire represents both employers and employees on such contentious matters as wrongful dismissal claims, disability and accommodation claims, harassment allegations and enforcement of restrictive covenants (such as non-competition and non-solicitation clauses in employment contracts), he enjoys a strategic advantage over lawyers who represent only "management-side" or "employee-side" litigants: He knows their playbook.
Services
At Kerr & Nadeau our job is to de-mystify and to simplify the rules for you, to offer you sound professional advice and superior legal services that will enable you, whether you are an inventor, an entrepreneur or a corporate executive, to execute your business plan, to protect your legal rights and to realize your strategic objectives while mitigating risk and ensuring compliance.
A patent is granted to you by the Government of Canada. It gives you the right to exclude others from making, using or selling your invention. Your Canadian patent applies within Canada for 20 years from the date you file the application. Generally speaking, the patent application is available to the public 18 months after you file it.
Trademarks distinguish your product or service from those of others; for example, the Coca Cola trademark distinguishes its beverages from other competing beverages in the marketplace. A trademark can be one or more words, sounds or designs used to distinguish the goods or services of one person or organization from those of others in the marketplace.
Do you have a new piece of technology or software you are looking to license or transfer?. Whatever the decision, the world of business, commerce and exchange are built on contracts.

Businesses purchase and sell products and services; they lease commercial space in office buildings, retail outlets and industrial parks; they hire employees and contractors; they enter into partnerships and joint ventures; they buy franchises, sell their businesses, and license or transfer technology. Each of these trans-actions, and many others, is governed by a contract.
Franchises come in all shapes, sizes and business sectors. There are product and distribution franchises where the franchisor grants the franchisee a license to use its trademark to sell its products or services (e.g., Coca Cola, Goodyear Tire, etc.). There are business format franchises.

There are new franchises that you can acquire directly from the franchisor; or operating franchises you can purchase from existing franchisees (ordinarily subject to the franchisor's approval). In other words, the choices are almost endless. So don't be in too much of a hurry to decide. Most new franchisees focus primarily on the franchise fee and location of the franchise.
